# SlimVID Terms of Service

These Terms of Service (“Terms”) govern your installation of, access to, and use of SlimVID, including the SlimVID Shopify application, embedded application interfaces, websites, APIs, Theme App Embed, App Proxy, video-processing services, and related functionality (collectively, the “Service”).

These Terms constitute an agreement between you and **Ori Game Limited**, a company incorporated in Hong Kong (“SlimVID,” “we,” “us,” or “our”).

By installing, subscribing to, accessing, or using SlimVID, you agree to these Terms.

If you install or use SlimVID for a company, Shopify store, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

SlimVID is an independent third-party application and is not endorsed, sponsored by, or affiliated with Shopify Inc.

## 1. The SlimVID Service

SlimVID provides technology designed to optimize product videos for online storefront use.

Depending on the current Service version and the merchant's applicable plan, SlimVID may:

- scan Shopify product media;
- identify an eligible Shopify-hosted product video;
- analyze source videos;
- create video-processing tasks;
- generate optimized video versions;
- upload output files to Shopify Files;
- provide previews of available results;
- apply optimized-video mappings to storefront playback;
- process replacement source videos;
- provide an original or non-compressed processing option where available;
- provide fallback behavior; and
- restore storefront use to an original source.

In SlimVID's current V1 workflow, applicable optimization functionality is designed primarily around the **first eligible Shopify-hosted VIDEO according to Shopify product media position**.

External video embeds and third-party-hosted videos, including YouTube and Vimeo embeds, are not part of the core V1 optimization workflow.

SlimVID may modify or expand supported workflows as the Service evolves.

## 2. Shopify Is a Third-Party Platform

Shopify is a separate third-party platform.

Your Shopify account, Shopify Admin, store, themes, APIs, Files environment, CDN, billing relationship, and other Shopify services remain governed by your agreements with Shopify.

Shopify may change its APIs, platform requirements, file processing, CDN behavior, billing systems, themes, permissions, or other functionality.

SlimVID is not responsible for failure or delay caused solely by Shopify or another third-party system outside SlimVID's reasonable control.

## 3. Eligibility and Authority

To use SlimVID, you must:

- have access to an applicable Shopify store;
- have legal capacity to enter into these Terms;
- have authority to install or operate SlimVID for that store; and
- use the Service only for lawful business purposes.

You are responsible for:

- your Shopify account;
- staff access;
- store permissions;
- store configuration;
- credentials under your control; and
- actions taken by persons you authorize to use SlimVID.

## 4. Merchant Content

“Merchant Content” means any video, image, text, metadata, product information, or other content that you provide to, select through, or instruct SlimVID to process.

You retain ownership of your Merchant Content.

You grant SlimVID a limited, non-exclusive, worldwide license to:

- access;
- copy;
- transmit;
- temporarily store;
- analyze;
- decode;
- transcode;
- compress;
- create technical derivative files from;
- upload; and
- deliver

Merchant Content only as reasonably necessary to provide, operate, secure, troubleshoot, maintain, and support the Service.

This license does not transfer ownership of Merchant Content to SlimVID.

The license ends when the relevant processing and retention are no longer reasonably necessary, subject to ordinary backup cycles, security obligations, dispute resolution, and legal requirements.

## 5. Rights to Merchant Content

You represent and warrant that you have all rights, licenses, permissions, consents, releases, and legal authority required to provide and process Merchant Content through SlimVID.

You must not use SlimVID to process content that unlawfully infringes another person's:

- copyright;
- trademark;
- privacy;
- publicity rights;
- confidentiality obligations;
- contractual rights; or
- other legal rights.

You are responsible for obtaining necessary permission relating to people appearing in, speaking in, being named in, or otherwise identifiable from Merchant Content.

## 6. Video Optimization Results

SlimVID uses video-processing technology intended to reduce video file size or otherwise improve video delivery while maintaining an appropriate visual result.

Actual results depend on many factors, including:

- source codec;
- source bitrate;
- resolution;
- frame rate;
- duration;
- source quality;
- content characteristics;
- selected processing option;
- browser;
- device;
- network conditions;
- Shopify infrastructure; and
- merchant storefront configuration.

SlimVID does not guarantee a particular:

- compression ratio;
- output file size;
- quality metric;
- loading-time improvement;
- bandwidth reduction; or
- performance result for every video.

A video that is already highly compressed may achieve little or no additional file-size reduction.

Certain videos may be unsupported or may fail processing because of encoding, corruption, HDR characteristics, bit depth, format, size, duration, compatibility, or other technical limitations.

SlimVID may decline to recommend or apply a result where the result does not meet applicable technical, compatibility, or quality criteria.

## 7. Original Media, Apply, Fallback, and Restore

SlimVID's normal optimization workflow is designed to preserve the original Shopify-hosted video and create an optimized result separately.

Applying an optimized result activates the applicable SlimVID storefront mapping.

It does not transfer ownership of the original media to SlimVID.

SlimVID may perform technical availability or playback checks before an optimized result is applied.

Such checks are intended to reduce risk but cannot guarantee that Shopify, a CDN, a network provider, or another third-party service will remain continuously available.

If an optimized source later becomes unavailable or cannot be used, SlimVID may fail open, skip replacement, or attempt to use the original Shopify-hosted source.

Where available, Restore is designed to deactivate the applicable SlimVID mapping and return storefront use to the original video.

Restore depends on the necessary original media remaining available.

SlimVID cannot guarantee restoration of a source that has been deleted, modified, made inaccessible, or otherwise changed by the merchant, Shopify, another application, or another third party.

SlimVID is not a backup or archival service.

## 8. Shopify Files

SlimVID may create, upload, or manage files within the merchant's Shopify Files environment where necessary to provide the Service.

Files stored in Shopify Files are hosted by Shopify and remain subject to Shopify's:

- infrastructure;
- permissions;
- CDN;
- file processing;
- retention systems; and
- merchant controls.

Uninstalling SlimVID does not necessarily cause all previously generated Shopify Files to be automatically deleted.

The merchant remains responsible for reviewing and managing files stored in its Shopify account.

## 9. Theme App Embed and Storefront Compatibility

SlimVID may use Shopify-supported mechanisms such as a Theme App Embed and App Proxy.

SlimVID's storefront functionality is designed to affect applicable existing video source behavior and not intentionally restructure or modify unrelated storefront media.

However, storefront behavior may be affected by:

- Shopify themes;
- customized Liquid code;
- custom JavaScript;
- third-party applications;
- page builders;
- lazy-loading systems;
- modal players;
- third-party scripts;
- custom storefront implementations;
- browsers; or
- devices.

SlimVID does not guarantee compatibility with every Shopify theme, browser, device, third-party application, or custom implementation.

You remain responsible for reviewing the final storefront experience after enabling, applying, restoring, or changing SlimVID functionality.

Where appropriate, you should maintain backups or copies of important theme customizations and store data.

## 10. Merchant Responsibilities

You are responsible for:

- using SlimVID lawfully;
- ensuring Merchant Content complies with applicable law;
- respecting third-party rights;
- reviewing optimized video results;
- reviewing storefront behavior following Apply or Restore;
- properly configuring SlimVID;
- maintaining your Shopify account;
- maintaining appropriate backups of important content; and
- complying with Shopify policies.

You must not knowingly provide malicious, unlawful, infringing, deceptive, corrupted, or otherwise harmful material to the Service.

## 11. Prohibited Use

You may not use SlimVID to:

- violate applicable law;
- infringe intellectual-property or privacy rights;
- distribute malware;
- attack or disrupt SlimVID, Shopify, or other infrastructure;
- probe or scan systems without authorization;
- access another merchant's information without authorization;
- circumvent authentication;
- circumvent billing;
- circumvent service or plan limits;
- circumvent security controls;
- reverse engineer SlimVID except where applicable law expressly permits such activity; or
- create automated or abusive workloads that materially threaten Service stability.

SlimVID may take reasonable measures to investigate, restrict, suspend, or prevent prohibited use.

## 12. Intellectual Property Complaints

SlimVID respects the intellectual-property rights of others.

If you believe that content being processed through SlimVID infringes copyright or another intellectual-property right, contact:

Your notice should, where reasonably applicable, include:

- your name and contact information;
- identification of the protected work or right;
- identification of the allegedly infringing material or relevant merchant;
- an explanation of the basis for the complaint;
- a statement that the information provided is accurate and the complaint is made in good faith; and
- any signature or other information required by applicable law.

Where appropriate, SlimVID may restrict the relevant Service, notify the applicable merchant, preserve necessary evidence, or cooperate with Shopify or competent authorities.

Where the Digital Millennium Copyright Act or another applicable intellectual-property notice regime applies, SlimVID may process the notice under the applicable regime.

## 13. Subscription Plans

SlimVID may offer:

- free plans;
- free allowances;
- trials;
- promotional plans;
- paid subscription plans; or
- other pricing arrangements.

Plans may differ according to:

- monthly optimization allowance;
- video file-size limits;
- video duration limits;
- processing volume;
- feature availability;
- fair-use limits;
- support level; and
- other Service entitlements.

The price, plan limits, and billing conditions displayed in SlimVID and in the applicable Shopify billing approval at the time you subscribe govern that subscription.

SlimVID may change plan names, pricing, features, or limits prospectively.

Where Shopify rules or applicable law require additional notice or billing approval, SlimVID will follow the applicable process.

## 14. Billing and Renewal

Paid SlimVID subscriptions are generally billed through Shopify Billing.

By approving a recurring Shopify charge, you authorize Shopify to charge the applicable amount and applicable taxes according to the billing terms presented to you.

A recurring subscription continues according to the applicable Shopify billing terms until cancelled or otherwise terminated.

SlimVID does not receive your full payment-card number through its Shopify application.

Unless required by applicable law, Shopify policy, or an express written SlimVID refund commitment, fees already charged are non-refundable.

Cancellation, downgrade, Restore, or uninstall does not automatically entitle a merchant to a refund for processing or subscription services already provided.

## 15. Usage Allowances and Service Limits

Certain SlimVID actions may count toward the usage allowance associated with a subscription plan.

Applicable usage treatment is displayed through the Service where reasonably necessary.

You agree not to manipulate, duplicate, circumvent, or otherwise evade legitimate usage or subscription limits.

SlimVID may delay or reject new processing operations after applicable limits have been reached.

SlimVID may also apply reasonable safeguards where unusually heavy, automated, or abusive use threatens infrastructure, reliability, or other merchants.

## 16. Trials and Promotions

Where SlimVID offers a trial, discount, early-access offer, free allowance, promotional price, or similar benefit, the applicable conditions are those displayed with the relevant offer.

Promotional eligibility may be limited by:

- Shopify store;
- account;
- installation;
- time period;
- usage;
- prior participation; or
- other stated criteria.

SlimVID may prevent repeated, fraudulent, or abusive use of promotional offers.

## 17. Cancellation, Downgrade, and Uninstall

You may cancel an applicable subscription or uninstall SlimVID through the controls provided by Shopify.

Following cancellation, downgrade, expiration, or uninstall, depending on the applicable plan and circumstances, SlimVID may:

- stop accepting new optimization tasks;
- restrict functionality;
- stop updating SlimVID mappings;
- stop maintaining functionality that requires an active subscription;
- disable application functionality that depends on an active installation; and
- delete or de-identify applicable SlimVID-controlled operational data.

Storefront App Embed functionality may cease to operate after SlimVID is uninstalled.

Original Shopify-hosted videos remain governed by the merchant's Shopify store and the merchant's own actions.

Certain Shopify-hosted files previously created using SlimVID may remain in Shopify Files until removed by the merchant, Shopify, or an applicable supported cleanup process.

Past charges are not automatically refunded solely because SlimVID is cancelled, downgraded, or uninstalled.

## 18. Service Availability

SlimVID aims to provide a reliable Service but does not guarantee uninterrupted or error-free availability.

The Service may be affected by:

- maintenance;
- releases;
- network failures;
- cloud infrastructure outages;
- Shopify API changes;
- Shopify outages;
- Shopify CDN behavior;
- file-processing delays;
- video-processing infrastructure;
- security incidents;
- third-party service failures; and
- other circumstances outside SlimVID's reasonable control.

SlimVID may temporarily limit functionality where reasonably necessary to maintain security, prevent data loss, protect merchants, or restore Service reliability.

## 19. Changes to the Service

SlimVID may add, modify, restrict, replace, or discontinue:

- features;
- processing options;
- supported video characteristics;
- technical requirements;
- workflows;
- usage limits; or
- other functionality.

Where required by law or an applicable contractual obligation, SlimVID will provide notice of material changes.

SlimVID does not guarantee that every feature available at a particular time will remain available indefinitely.

## 20. Beta, Preview, and Experimental Features

SlimVID may make beta, preview, early-access, or experimental functionality available from time to time.

Such functionality may:

- be less stable;
- change without the same notice as generally available features;
- have additional limitations; or
- be discontinued.

Additional conditions may be presented with specific experimental functionality.

## 21. Privacy and Data Protection

SlimVID's processing of personal information is described in the SlimVID Privacy Policy.

Where SlimVID processes personal information contained in Merchant Content on behalf of a merchant, the merchant remains responsible for its own:

- privacy notices;
- lawful basis for processing;
- required consents;
- data-subject relationships; and
- compliance obligations.

SlimVID will cooperate as reasonably appropriate with applicable Shopify privacy and compliance processes.

## 22. Security

You must not knowingly compromise the security of SlimVID, Shopify, another merchant, or another third party.

If you become aware of a suspected security vulnerability, unauthorized access, credential compromise, or other security incident involving SlimVID, you should notify SlimVID promptly rather than exploiting the issue or disclosing it in a manner likely to increase harm.

## 23. SlimVID Intellectual Property

Ori Game Limited and its licensors retain all rights, title, and interest in SlimVID and the technology used to provide the Service, including:

- software;
- source and object code;
- video-processing technology;
- algorithms;
- workflows;
- interfaces;
- designs;
- documentation;
- branding;
- trademarks; and
- other intellectual property.

Except for the limited right to access and use SlimVID under these Terms, no SlimVID intellectual-property rights are transferred to you.

These Terms do not transfer ownership of your Merchant Content to SlimVID.

## 24. Feedback

If you voluntarily provide feedback, suggestions, comments, or ideas relating to SlimVID, you grant SlimVID the right to use that feedback to develop, improve, support, and operate the Service without compensation or restriction.

SlimVID will not publicly identify you as the source of feedback without permission unless otherwise permitted by law.

## 25. Suspension

SlimVID may suspend or restrict access where reasonably necessary because of:

- a material violation of these Terms;
- fraudulent activity;
- unlawful use;
- abusive processing activity;
- non-payment;
- security risk;
- Shopify platform requirements;
- legal requirements; or
- use that materially threatens SlimVID or another person.

Where reasonably practicable, SlimVID will attempt to provide notice before suspension unless immediate action is reasonably required for legal, security, platform-compliance, or harm-prevention purposes.

## 26. Termination

You may terminate use of SlimVID by uninstalling the application and cancelling applicable subscriptions through Shopify.

SlimVID may terminate access where permitted under these Terms.

Upon termination, your right to use SlimVID ends, except for actions reasonably necessary to complete an orderly termination, process lawful deletion or retention, or satisfy outstanding obligations.

Provisions that by their nature should survive termination remain effective, including provisions concerning:

- accrued payment obligations;
- ownership;
- intellectual property;
- privacy and data obligations where applicable;
- disclaimers;
- limitations of liability;
- indemnification;
- dispute resolution;
- governing law; and
- accrued rights.

## 27. Disclaimer of Warranties

**TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SLIMVID IS PROVIDED “AS IS” AND “AS AVAILABLE.”**

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORI GAME LIMITED DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, AND ERROR-FREE PERFORMANCE.

SLIMVID DOES NOT GUARANTEE:

- A PARTICULAR COMPRESSION RATIO;
- A PARTICULAR OUTPUT FILE SIZE;
- A PARTICULAR QUALITY SCORE;
- A PARTICULAR LOADING-TIME IMPROVEMENT;
- A PARTICULAR BANDWIDTH SAVING;
- THAT EVERY OPTIMIZED FILE WILL BE SMALLER THAN ITS SOURCE;
- THAT EVERY VIDEO WILL BE SUCCESSFULLY PROCESSED;
- COMPATIBILITY WITH EVERY SHOPIFY THEME, APPLICATION, BROWSER, DEVICE, NETWORK, OR CUSTOM IMPLEMENTATION;
- A PARTICULAR SEARCH-ENGINE RANKING;
- A PARTICULAR CONVERSION RATE;
- A PARTICULAR SALES RESULT; OR
- A PARTICULAR REVENUE RESULT.

Nothing in these Terms excludes any warranty or statutory right that cannot lawfully be excluded.

## 28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORI GAME LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SALES, LOST BUSINESS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORI GAME LIMITED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

**(A) THE AMOUNTS ACTUALLY PAID FOR THE SLIMVID SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR**

**(B) US$100.**

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

## 29. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ori Game Limited and its officers, directors, employees, contractors, and service providers from third-party claims, liabilities, damages, costs, and reasonable legal expenses arising out of or relating to:

- Merchant Content;
- your violation of another person's rights;
- your unlawful or unauthorized use of the Service; or
- your material breach of these Terms.

This obligation does not apply to the extent that a claim results directly from Ori Game Limited's own unlawful conduct or material breach of these Terms.

## 30. Force Majeure

Ori Game Limited is not responsible for delay or failure caused by circumstances beyond its reasonable control, including:

- natural disasters;
- war;
- civil disturbance;
- governmental action;
- labor disruption;
- telecommunications outages;
- power failures;
- widespread cloud outages;
- cyberattacks;
- failures of Shopify or other critical third-party providers; or
- comparable events outside reasonable control.

## 31. Governing Law and Jurisdiction

These Terms are governed by the laws of the **Hong Kong Special Administrative Region**, without regard to conflict-of-laws principles.

Subject to any mandatory legal rights or jurisdiction that cannot lawfully be waived, the courts of the **Hong Kong Special Administrative Region** shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

## 32. Changes to These Terms

SlimVID may update these Terms to reflect changes to:

- the Service;
- applicable law;
- Shopify platform requirements; or
- business practices.

If SlimVID makes a material change, the “Last Updated” date will be updated and additional notice or acceptance will be provided where required by applicable law.

Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

## 33. Assignment

You may not assign or transfer these Terms without Ori Game Limited's prior written consent, except where applicable law provides otherwise.

Ori Game Limited may assign these Terms in connection with:

- a merger;
- acquisition;
- financing;
- corporate reorganization;
- sale of the Service; or
- transfer of substantially all assets relating to SlimVID.

## 34. Severability

If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

## 35. No Waiver

Failure by Ori Game Limited to enforce a provision of these Terms does not waive that provision or any other right.

## 36. Entire Agreement

These Terms, together with:

- the SlimVID Privacy Policy;
- applicable Shopify billing approvals; and
- any specific written terms presented with a SlimVID subscription plan or feature

constitute the agreement governing your use of the Service.

If a specific written plan or feature term directly conflicts with these Terms, the specific term governs only with respect to that plan or feature.
